In the event Nortel Limited or Nortel Corporation determines that Common Shares or certificates evidencing Common Shares shall not be delivered to a Participant or Participants in accordance with the foregoing, the Participant shall be entitled to receive from Nortel Limited, in cash, an amount equal to the Market Value of the Common Shares that would otherwise be delivered in settlement of Share Units on the Settlement Date, less any amounts withheld by Nortel Limited in accordance with Section 14 in respect of taxes payable or other source deductions in respect of such cash payment.
